Acceptance of Terms

Welcome to Brevoir. By accessing or using our platform at brevoir.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to modify these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

Description of Service

Brevoir is an AI-powered platform that provides due diligence reports for angel investors. Users can upload pitch decks or provide company URLs to receive automated reports analyzing market validation, competitive landscape, team backgrounds, traction verification, and risk assessment. The Service uses artificial intelligence to research and synthesize information from publicly available sources.

Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent that you meet this age requirement and have the legal capacity to enter into these Terms.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or security breach.

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update this information as necessary.

Subscription Plans and Billing

4.1 Plans

We offer multiple subscription plans (Free, Scout, Investor, Syndicate) with varying features and report limits. Current pricing and plan details are available on our website.

4.2 Payment Terms

Paid subscriptions are billed on a recurring basis (monthly or annual) through our payment processor, Stripe. You authorize us to charge your payment method for all fees incurred. All fees are non-refundable except as required by law.

4.3 Usage Limits

Each plan includes a monthly report limit. Once you reach your limit, you must upgrade your plan or wait until the next billing cycle to generate additional reports.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period. No partial refunds are provided for unused portions of a subscription period.

4.5 Price Changes

We reserve the right to modify our pricing. We will provide at least 30 days notice of any price increases for existing subscribers.

Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for investment due diligence and research purposes.

5.2 Prohibited Activities

You agree not to:

  • Violate any applicable laws or regulations
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to the Service or related systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools (bots, scrapers) to access the Service without permission
  • Share your account credentials with others
  • Resell or redistribute reports generated by the Service
  • Use the Service to harass, defame, or harm others
  • Upload content you do not have the right to upload
  • Circumvent usage limits or security measures

Intellectual Property Rights

6.1 Our Rights

The Service, including its design, features, code, and content (excluding user content), is owned by Brevoir and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

6.2 Your Content

You retain ownership of any pitch decks, URLs, or other content you upload ("User Content"). By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, process, and store your content solely to provide the Service.

6.3 Generated Reports

Reports generated by the Service are licensed to you for your personal or business use. You may share reports with co-investors or business partners, but you may not resell or redistribute reports for commercial gain without our permission.

Disclaimers and Limitations

7.1 No Investment Advice

Brevoir provides informational reports only. Our reports do not constitute investment advice, financial advice, or recommendations to buy, sell, or hold any security. You should conduct your own due diligence and consult with qualified professionals before making investment decisions. We are not registered investment advisors.

7.2 Accuracy of Information

Reports are generated using AI and publicly available information. While we strive for accuracy, we cannot guarantee that all information is complete, current, or error-free. Information may be outdated, incomplete, or inaccurate. You should independently verify all information before relying on it.

7.3 Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

7.4 Limitation of Liability

To the maximum extent permitted by law, Brevoir shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or investment losses, arising from your use of the Service. Our total liability to you for any claims shall not exceed the amount you paid us in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Brevoir, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) your User Content.

Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

Termination

10.1 By You

You may terminate your account at any time by contacting support or through your account settings.

10.2 By Us

We may suspend or terminate your account immediately, without notice, if you violate these Terms or engage in fraudulent, abusive, or illegal activity. We may also discontinue the Service at any time with reasonable notice.

10.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We may delete your account data, though some information may be retained as described in our Privacy Policy. Sections of these Terms that should survive termination (including disclaimers, limitations of liability, and indemnification) will continue to apply.

13.3 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration, except where prohibited by law. You waive your right to a jury trial or to participate in a class action lawsuit.

Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Brevoir regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, or internet outages.
